Why Non-Residents Form a US LLC

A US LLC gives a founder anywhere in the world a credible, globally recognised company, access to US payment rails and platforms, contracts in a legal system counterparties trust, and, if it is owned by non-residents and earns its income outside the US, an entity that is often not itself subject to US federal income tax. That last point is real but easy to get wrong, which is why the compliance section below exists.

Set Up

We form the company, pay the state filing fee, provide a registered agent and registered office for the first year, draft your operating agreement and set up scanning and forwarding of official mail, so the company has a real US address from day one.

Then the EIN, the federal tax ID that every bank and payment provider asks for. It is included. Without an SSN or ITIN it cannot be obtained online, so we file Form SS-4 with the IRS by fax on your behalf. The IRS takes four to eight weeks to issue it; anyone promising a non-resident an EIN in days is not being straight with you. Wyoming is our default recommendation for non-residents: private, cheap to run, no state income tax and no franchise tax.

Get Compliant

This is the part most formation agents never mention, and it carries the biggest penalty. A US LLC owned by a single non-resident is treated as a foreign-owned disregarded entity, and every year it must file Form 5472 attached to a pro-forma Form 1120 with the IRS, whether or not it made a dollar. Miss it and the penalty is $25,000, per year. Add the state annual report (Wyoming's is cheap; Delaware's comes with a $300 franchise tax), keeping a registered agent in place, and the federal beneficial-ownership reporting rules, which have changed more than once and which we track so you do not have to.

A freshly formed LLC with a non-resident owner is exactly the profile mainstream US banks decline on sight, and the account you actually need is the thing formation mills quietly leave you to figure out. What works in practice is a mix of US fintech accounts and licensed EMIs that genuinely onboard non-resident-owned companies, and, above all, an application packaged the way a compliance team wants to read it: business model, source of funds, expected flows, clean KYC.

How Long It Takes

Formation: days. Wyoming and Delaware filings are typically complete within one to three business days of your onboarding form. EIN: four to eight weeks for non-residents, filed by fax with the IRS. Frequently Asked Questions

Do I pay US tax on my LLC's income?

Often not at the entity level: a single-member LLC owned by a non-resident, with no US office, employees or dependent agents and income earned outside the US, is generally not subject to US federal income tax on that income. But the answer depends on what you do and where, and your own country will have a view too. We coordinate a licensed specialist for your specific case; we do not give tax advice ourselves.

Do I need an ITIN?

Not to form the company or get its EIN. Some banks and some filings ask for one later, and we can arrange it as an add-on when it is actually needed rather than selling it to you up front.

What if I miss the Form 5472 filing?

The penalty is $25,000 per missed year, and it applies even to a company with no income. That is why we put the deadline on your calendar, remind you and coordinate the filing. It is the single most expensive thing non-resident owners get wrong.

Can I open the bank account before the EIN arrives?

Almost never; the EIN is the first thing every institution asks for. Plan on the four-to-eight-week IRS wait, then one to four weeks for banking. We use that time to prepare your application so it goes in the moment the EIN lands.

Which state should a non-resident choose?
